1. Introduction

These Terms & Conditions ("Terms") govern access to and use of the advertising exchange platform and related services (the "Platform") provided by Adspin Technology Solutions Limited ("Adspin.io", "we", "us", or "our"), a company incorporated in Hong Kong with its registered office at 77 Connaught Rd Central, 26th Floor, Beautiful Group Tower, Central Hong Kong.

By accessing or using the Platform, you ("Partner" or "you") agree to be bound by these Terms. If you do not agree, you must not use our Platform.

2. Eligibility & Business Use

Our Platform is intended exclusively for business use (B2B). By agreeing to these Terms, you represent and warrant that:

• You are accessing the Platform on behalf of a legally registered business entity.
• You have the authority to bind that entity to these Terms.
• You are not a minor, and you are not acting on behalf of any individual under the age of 18.
• Your use of the Platform complies with all applicable laws and regulations in your jurisdiction.

3. Services

Adspin.io operates a programmatic advertising exchange that connects advertisers, publishers, demand-side platforms (DSPs), and supply-side platforms (SSPs) for the purpose of buying and selling digital advertising inventory through real-time bidding (RTB) and oRTB-compliant integrations.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice.

4. Partner Obligations

As a Partner using the Platform, you agree to:

• Comply with all applicable advertising standards, laws, and regulations, including GDPR and the IAB Europe TCF 2.2 framework where applicable.
• Ensure that all advertising content submitted through the Platform does not contain illegal, misleading, harmful, or offensive material.
• Not engage in, facilitate, or permit any form of invalid traffic (IVT), ad fraud, click fraud, or impression fraud.
• Maintain accurate account information and notify us promptly of any changes.
• Not attempt to reverse engineer, decompile, or interfere with the Platform or its underlying systems.

5. Intellectual Property

All intellectual property rights in the Platform — including software, algorithms, interfaces, content, and trademarks — are owned by or licensed to Adspin Technology Solutions Limited. Nothing in these Terms grants you any right to use our intellectual property beyond what is strictly necessary to use the Platform in accordance with these Terms.

6. Confidentiality

Each party may have access to confidential information of the other in connection with use of the Platform. Both parties agree to keep such information confidential and not to disclose it to any third party without the prior written consent of the disclosing party, except as required by law.

7. Limitation of Liability

To the fullest extent permitted by applicable law, Adspin.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, or loss of data, arising out of or in connection with your use of the Platform.

Our total aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you to Adspin.io in the three (3) months preceding the event giving rise to the claim.

8. Fraud & Invalid Traffic

Adspin.io employs industry-leading SIVT (Sophisticated Invalid Traffic) detection mechanisms, including integration with DoubleVerify (NYSE: DV), to maintain the integrity of our exchange. We reserve the right to withhold payment, suspend, or terminate accounts found to be generating or facilitating invalid traffic, at our sole discretion.

9. Suspension & Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if we determine that you have breached these Terms, engaged in fraudulent activity, or if required to do so by law.

Upon termination, all rights granted to you under these Terms will immediately cease.

10. Data Protection

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Both parties agree to comply with applicable data protection laws, including the GDPR where applicable, and to process any personal data shared between them in accordance with a Data Processing Agreement (DPA) where required.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Hong Kong. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform following the posting of revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.
